TERMS & CONDITIONS

1. Seller (Shield Business Systems) will be bound only by those understandings, conditions and agreements as appear here and will be bound only when accepted at one of its Business Forms or Supplies Plants, of which Buyer waives notice.   Buyer may not countermand any order unless consented to by Seller under terms which will prevent loss to Seller.

2. Terms:  Net 15 days
   F.O.B. SHIPPING PLANT
   Taxes now in effect or if and when levied are to be added to the selling prices.

3. All goods are to charged for on completion.  Quantity shipped may vary not more or less than ten (10) percent from quantity ordered.

4. All quotations are good for a period of thirty (30) days.

5. No returns are allowed unless pre-authorized by Seller.

6. SELLER DOES NOT GUARANTEE SAFE DELIVERY AND IS NOT RESPONSIBLE FOR LOSS OR DAMAGE TO SHIPMENTS WHILE IN TRANSIT.  IF ANY FORMS, DOCUMENTS OR SUPPLIES ARE DAMAGED OR LOST DURING TRANSIT ARE THE RESPONSIBILITY OF THE SHIPPING COMPANY.

7. Seller's commitment hereunder is subject to delay or cancellation due to causes beyond its reasonable control, such as, but not limited to, Acts of God, strikes, fires, accidents, inability to obtain materials, Government restrictions and Government contracts and priorities.

8. IN NO EVENT SHALL SELLER BE LIABLE FOR LOSS OF PROFITS OR OTHER ECONOMIC LOSS, INDIRECT, SPECIAL CONSEQUENTIAL OR OTHER SIMILAR DAMAGES ARISING OUT OF ANY CLAIMED BREACH OF OBLIGATIONS HEREUNDER.
